Terms of service
The agreement between SKS Advertizing Private Limited and the businesses that run their online store on Remavio.
01Parties, acceptance and the agreement
In short: Remavio is software owned by SKS Advertizing Private Limited. When you create an account you enter a binding contract with that company.
1.1 Remavio (the "Platform") is a software-as-a-service product owned and operated by SKS Advertizing Private Limited, a company incorporated under the Companies Act, 2013 (CIN U72200DL2022PTC393183), having its registered office at P. No. 310, Block No. 9, Sundar Vihar, Paschim Vihar-I, Delhi 110087, India (the "Company", "we", "us" or "our").
1.2 These Terms of Service (the "Terms") govern access to and use of the Platform, the merchant admin panel, the storefront software, the subdomains we host, our application programming interfaces and all related services (together, the "Services").
1.3 These Terms are an electronic record within the meaning of the Information Technology Act, 2000 and the rules made under it, and are generated by a computer system. They require no physical or digital signature. They are published in accordance with Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (the "Intermediary Rules").
1.4 The following form part of these Terms and are incorporated by reference: the Privacy Policy at /privacy, the Refund Policy at /refund-policy, the grievance procedure at /grievance, and any plan-specific terms stated on the pricing page (together, the "Policies").
1.5 By clicking "I agree", creating an account or using the Services, you accept these Terms and the Policies. If you do not agree, you shall not create an account or use the Services. We record the version of the Terms you accepted, together with the date, time and IP address of acceptance.
02Definitions and interpretation
In short: What the capitalised words in this document mean.
2.1 In these Terms:
- "Applicable Law" means all laws, rules, regulations, orders and directions of any competent authority in India that apply to you, your Store or the Services.
- "Buyer" means any person who visits, browses or purchases from a Store.
- "Buyer Data" means personal data of Buyers collected through a Store.
- "Fees" means the charges payable for Plan Validity, as shown on the pricing page at the time of purchase.
- "Merchant", "you" and "your" mean the person or business that creates an account to build and operate a Store, and, where an entity accepts these Terms, that entity.
- "Merchant Content" means all products, listings, images, text, prices, logos, policies and other material that you upload to or display through your Store.
- "Plan Validity" means the period for which you have paid to use the Services under a plan.
- "Staff User" means any person to whom you give access to your account.
- "Store" means the online storefront you create using the Services, whether on a subdomain we host or on your own domain.
- "Store Owner" has the meaning given in clause 4.5.
- "Third Party Service" means any service not provided by us that you connect to your Store, including payment gateways, courier and logistics providers, messaging providers, domain registrars, analytics tools and marketing tools.
2.2 Headings and "In short" notes are for convenience only and do not affect interpretation; if a note and the clause it accompanies differ, the clause governs. "Including" means "including without limitation". A reference to a statute includes that statute as amended or re-enacted from time to time.
03Eligibility
In short: You must be an adult running a lawful business in India. The Services are for business use, not personal or consumer use.
3.1 You shall be at least eighteen years of age and competent to contract under the Indian Contract Act, 1872.
3.2 You shall be a sole proprietor, partnership, limited liability partnership, company or other legal entity carrying on a lawful business in India. The Services are offered to Merchants for the sale of goods and services lawfully capable of sale in India.
3.3 If you accept these Terms on behalf of an entity, you represent and warrant that you have authority to bind that entity, and "you" includes that entity.
3.4 The Services are provided solely for commercial purposes. You are not a "consumer" of the Services within the meaning of the Consumer Protection Act, 2019.
3.5 We may refuse registration, or suspend or close an account, where we reasonably believe that the requirements of this clause are not met or that information you have given is false. We reserve the right to refuse the Services to any person for any lawful reason, including where we consider that the business, products or conduct present a legal, regulatory, reputational or security risk to us or to other Merchants.
04Your account, ownership and security
In short: Give correct details and keep your login safe; you answer for everything done through your account. The person who signed up owns it.
4.1 You shall provide accurate, complete and current information when registering and keep it updated. We may require further documents at any time to verify your identity, your business or your compliance with these Terms, and may suspend the account until verification is complete.
4.2 You are responsible for keeping your credentials confidential and for enabling any additional security feature we offer, such as two-factor authentication or passkeys. You shall notify us at the support address in clause 19 without delay on becoming aware of any unauthorised access.
4.3 All activity under your account, including activity by Staff Users and by any person who obtains your credentials, is treated as your own activity. You are fully responsible for your Staff Users. We keep an audit log of sensitive actions in the admin panel, and you agree that the log is admissible evidence of who did what and when.
4.4 Each business may hold one Merchant account. You shall not create multiple accounts to avoid Fees, trial limits, suspension or plan limits, and shall not sell, lease or share your account.
4.5 The person whose email address was used to create the account (the "Store Owner") is treated by us as the sole owner of the account and of every Store under it, irrespective of who paid the Fees, built the Store or operates it. Staff Users, partners, agencies, employees and family members acquire no ownership rights in the account.
4.6 Password resets and account recovery are processed only through the Store Owner's registered email address. We shall not reset credentials or hand over an account at the request of any other person, by whatever description.
4.7 Where we receive conflicting claims to an account, including between partners, co-founders, family members, or a Merchant and an agency, we shall not adjudicate ownership of the business. We may freeze the account, in whole or in part, until we receive either a written request signed by every claimant or an order of a court of competent jurisdiction or an arbitral tribunal. We are not liable for any loss arising from such a freeze.
05Nature of the Services
In short: Remavio is only the software behind your store. We are not the seller, not a marketplace, not a payment company and not a courier.
5.1 Remavio provides software that enables a Merchant to build and operate the Merchant's own Store. The Company is an "intermediary" within the meaning of section 2(1)(w) of the Information Technology Act, 2000 and claims the protection of section 79 of that Act.
5.2 Each Store is independent. We operate no common storefront, listing or search facility through which Buyers can browse or purchase across Stores, and we are not a marketplace e-commerce entity in respect of your Store for the purposes of the Consumer Protection (E-Commerce) Rules, 2020. You are the seller and the e-commerce entity for your Store.
5.3 Every contract for the sale of goods or services through your Store is solely between you and the Buyer. We are not a party to it and assume no obligation under it. We do not set or control your prices, stock, discounts, product selection or policies, we do not verify or endorse any Merchant, Store or product, and we take no active part in any transaction between you and a Buyer.
5.4 We do not collect, hold, process or settle any payment made by a Buyer. Buyer payments are received through the payment gateway account that you open in your own name and connect to your Store, and are settled by that provider to you. We are not a payment aggregator or payment system operator and provide no payment service. The only sums payable to us are the Fees.
5.5 We provide no delivery, logistics or fulfilment service. Any courier integration is a Third Party Service that you engage directly.
06Your responsibilities as seller
In short: Run your store lawfully. Publish who you are and your policies, describe goods honestly, pay your own taxes and deal with your own buyers.
6.1 You represent and warrant that you have the legal right to sell every product and service listed on your Store and hold every licence, registration and approval that Applicable Law requires for it, including, where applicable, GST registration and licences under food, drug, legal metrology, standards and sector-specific laws.
6.2 You shall display on your Store, at all times after it goes live: your legal name and principal business address; a working customer-service email address and telephone number; your GSTIN, if registered; your shipping, delivery, return, refund and cancellation policies; a privacy policy for Buyer Data; your terms of sale; and the name and contact details of your own grievance officer for Buyer complaints. We may provide editable templates, but you alone are responsible for their content and accuracy.
6.3 Every product description, image, price, maximum retail price, quantity, country of origin, expiry date and other declaration shall be true, accurate and complete, and shall comply with the Legal Metrology Act, 2009 and the rules made under it, the Consumer Protection Act, 2019 and all other Applicable Law.
6.4 You shall not engage in any unfair trade practice, including false urgency, hidden charges, pre-selected add-ons, fabricated or suppressed reviews, misleading discounts or any practice identified as a dark pattern under the Guidelines for Prevention and Regulation of Dark Patterns, 2023.
6.5 You are solely responsible for charging, collecting, invoicing, reporting and paying every tax, duty and levy on your sales, including goods and services tax. We do not collect consideration for supplies made through your Store.
6.6 You are solely responsible for Buyer enquiries, complaints, returns, refunds, replacements and any consumer forum, regulatory or legal proceeding arising from your Store, including advance payments, pre-orders, bookings and deposits you collect. If a Buyer contacts us, we shall refer the Buyer to you, and you shall respond within the time Applicable Law requires.
6.7 You shall not collect through your Store any Aadhaar number, passport number, bank account number, card number, health information, biometric data or other sensitive personal data of a Buyer unless you have a specific lawful basis and comply with Applicable Law. Card data shall be handled only by your payment gateway.
6.8 Any custom code, script, stylesheet, pixel, widget or third-party tool that you add to your Store is your responsibility. We may disable any customisation that harms the Services, Buyers or other Merchants.
6.9 You shall comply with all Applicable Law in operating your Store, including the Information Technology Act, 2000, the Consumer Protection Act, 2019 and the rules made under it, the Digital Personal Data Protection Act, 2023 and the Prevention of Money Laundering Act, 2002.
07Third Party Services, domains and email
In short: Your payment gateway, courier, messaging and domain accounts are yours, under their own terms. We are not responsible for them.
7.1 You may connect Third Party Services by entering your own credentials, keys or tokens. Each is provided under its own terms, which you accept directly with the provider. We are not a party to those terms.
7.2 You are responsible for opening, verifying and maintaining your accounts with Third Party Services, for the security of your keys, and for all fees, chargebacks, disputes and penalties arising from them.
7.3 We do not control, and are not responsible for, the availability, performance, security, accuracy or legality of any Third Party Service, or for any loss it causes, including failed or delayed payments, settlement holds, lost or damaged shipments and message delivery failures.
7.4 You authorise us to transmit data to and from the Third Party Services you connect as necessary to operate your Store. Credentials you enter are stored in encrypted form and used only to provide the Services.
7.5 We may add, change or remove integrations at any time, and removal of an integration is not a breach of these Terms.
7.6 If you connect a custom domain you shall own or control it and are responsible for its registration, renewal, DNS configuration and any dispute concerning it. A subdomain we host remains our property and is licensed to you only while your account is in good standing.
7.7 Transactional email is sent through the Services on your behalf. You shall not use it for bulk marketing, unsolicited messages or content unrelated to your Store. We may apply sending limits, require domain authentication and suspend sending for a Store whose messages cause complaints, bounces or blacklisting, in order to protect deliverability for all Merchants.
7.8 Advertising networks, search engines, social platforms, payment providers and other third parties may restrict or block a Store or domain under their own policies. We have no control over those decisions and are not liable for any resulting loss.
08Fees, trial, plan validity and refunds
In short: The service is prepaid. Nothing renews automatically and no card is kept on file. If you stop paying, the store is paused, not deleted.
8.1 The Services are PREPAID. You purchase Plan Validity for a fixed number of months, and may purchase more when it ends. There is no subscription, no automatic renewal, no mandate and no card kept on file, and no sum is charged to you except by your own act of payment.
8.2 A new Store receives a free trial of 14 days on the plan chosen at signup, or on the entry plan where none was chosen. No payment instrument is required for the trial. One trial is available per business.
8.3 Plans, limits, Fees and term discounts are those shown on the pricing page at the time of purchase. We may change them for future purchases; a change does not affect Plan Validity already paid for.
8.4 Fees are stated in Indian Rupees and are exclusive of tax. Where we are required by law to charge tax, it will be added at the applicable rate and shown on the invoice we issue for each payment. You are responsible for any tax you are required to deduct at source and shall furnish the certificate within the statutory time.
8.5 Buying further Plan Validity while validity remains adds to the end of the existing period. Moving to a larger plan takes effect immediately, with the unused value of current validity credited against the new purchase. Moving to a smaller plan takes effect when current validity ends.
8.6 Refunds are governed exclusively by the Refund Policy at /refund-policy. Except as that policy provides, or as Applicable Law requires, Fees paid are not refundable, including where a Store is suspended for breach of these Terms.
8.7 If you raise a chargeback or dispute on a payment to us without first writing to us, we may suspend the account until it is resolved and may recover any chargeback fee levied on us.
09Prohibited use, monitoring and takedown
In short: Do not sell banned or restricted goods or abuse the platform. We may remove content and suspend stores that break these rules.
9.1 In accordance with Rule 3(1)(b) of the Intermediary Rules, you shall not host, display, upload, modify, publish, transmit, store, update or share through the Services any information that:
- belongs to another person and to which you have no right, or that infringes any patent, trade mark, copyright or other proprietary right;
- is obscene, pornographic, invasive of another's privacy, defamatory, hateful or otherwise unlawful, or harms a minor in any way;
- threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States or public order, or incites the commission of any offence;
- deceives or misleads the addressee about the origin of a message, or impersonates another person;
- contains a software virus or any code designed to interrupt, destroy or limit the functionality of any computer resource; or
- violates any law for the time being in force.
9.2 Without limiting clause 9.1, you shall not use the Services to list, sell, promote or facilitate: any product or service that is illegal, banned or restricted under Applicable Law; counterfeit, stolen or infringing goods; prescription drugs, narcotic or psychotropic substances or unlicensed medical products; weapons, ammunition or explosives; tobacco, vaping or nicotine products in contravention of law; alcohol without a valid licence; lottery, betting, gambling or real-money gaming; products derived from protected wildlife in contravention of the Wild Life (Protection) Act, 1972; any investment, deposit, chit-fund, multi-level marketing or "earn money" scheme; or any product or service for which you hold no required licence.
9.3 You shall not: use the Services for fraud, phishing, impersonation or money laundering; attempt to access another Merchant's data or Store or to circumvent the isolation between Stores; probe, load-test, scrape or overload the Platform; reverse engineer, copy or resell the Services or white-label them without our written agreement; or send unsolicited commercial messages without the recipient's consent.
9.4 We do not pre-screen Stores or Merchant Content and are under no duty to monitor them. On receiving a complaint, a court order or a direction of a competent government authority, or on becoming aware of a violation, we may remove or disable access to Merchant Content or suspend a Store, with or without notice, and shall act within the time that Applicable Law requires. We may remind you of these Terms from time to time as the Intermediary Rules require.
9.5 Each time you publish or update your Store you confirm that it complies with this clause. If a law, regulation, court order or government direction bans, restricts or creates material legal risk for a category of goods or services, we may, without prior notice and without liability, disable that category, remove affected listings or suspend affected Stores until the position is clarified.
9.6 Complaints about unlawful content on a Store may be sent to our Grievance Officer as set out at /grievance.
10Content and intellectual property
In short: You own your content and allow us to host it. We own the platform, its code, themes and brand.
10.1 You retain ownership of Merchant Content. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, reproduce, display, transmit, cache, back up and technically adapt Merchant Content solely to provide, secure and maintain the Services. The licence ends when the Merchant Content is deleted from the Services, save for copies in backups held for the retention period stated in the Privacy Policy.
10.2 You represent and warrant that you own or have the right to use all Merchant Content, that it does not infringe the rights of any person, and that it complies with Applicable Law.
10.3 The Services, including their software, code, design, user interface, themes, templates, documentation and the Remavio name, logo and marks, are owned by the Company or its licensors and protected by law. Nothing in these Terms transfers any ownership to you. You receive a non-exclusive, non-transferable, revocable right to use the Services, and any theme or template, on your Store while your account is in good standing. You shall not copy, extract, sell, sublicense or use them outside the Services.
10.4 You shall not use the Remavio name or marks, or any confusingly similar name, in your business name, domain name or social media handle, shall not purchase them as advertising keywords, and shall not represent yourself as a partner, agent or affiliate of the Company.
10.5 Any suggestion or feedback you give may be used by us freely and without obligation to you.
10.6 If you believe that content on a Store infringes your rights, you may notify the Grievance Officer. The accounts of repeat infringers will be terminated.
11Data protection
In short: For your Buyers' data you decide the purposes and we act on your instructions. For your own account data, our Privacy Policy applies.
11.1 In respect of Buyer Data, you are the "Data Fiduciary" and we are a "Data Processor" within the meaning of the Digital Personal Data Protection Act, 2023 (the "DPDP Act"). In respect of your own account and registration data, the Company is the Data Fiduciary and the Privacy Policy applies.
11.2 You are responsible for giving Buyers a lawful privacy notice, for obtaining any consent that the collection and use of Buyer Data requires (including for marketing), for responding to Buyers' requests to access, correct or erase their data, and for using Buyer Data only for lawful purposes connected with your Store.
11.3 We shall process Buyer Data only on your instructions as expressed through your use of the Services, implement reasonable security safeguards, and notify you without undue delay of any personal data breach affecting Buyer Data so that you may meet your own obligations. We report cyber security incidents to the Indian Computer Emergency Response Team as the law requires, and you shall cooperate.
11.4 You may export your product, order and customer data from the admin panel at any time while your account is open. You are responsible for keeping your own copies. Our backups exist to protect the Services and are not a backup service for you.
11.5 You acknowledge that we may access, preserve and disclose registration information, Store data, order records and logs, without notice to you, to courts, police, tax authorities, regulators or other competent authorities where we receive a lawful request or order, or where we reasonably believe disclosure is necessary to comply with law, to investigate fraud or illegality, to protect the rights, property or safety of the Company, Buyers, other Merchants or the public, or to enforce these Terms.
11.6 Where we receive a court order, a government direction or written notice of an actual or reasonably anticipated legal proceeding relating to your Store, we may preserve your data beyond the retention periods in these Terms and the Privacy Policy for as long as reasonably required, notwithstanding any request for deletion.
12Availability, support and changes to the Services
In short: We work to keep the platform running but do not promise it will never go down. Support is by email, Monday to Saturday.
12.1 We endeavour to keep the Services available and fast, and to schedule disruptive maintenance outside Indian peak shopping hours where we can, but we do not guarantee uninterrupted, error-free or secure operation and offer no uptime commitment. The Services may be unavailable for scheduled or emergency maintenance or for reasons beyond our control.
12.2 Support is provided by email at support@remavio.in, Monday to Saturday, 10:00 to 19:00 IST. We aim to reply within two working days. Support staff will not edit your Store except on a request made by you.
12.3 We may add, modify or withdraw features, integrations, themes or plans. Where a change materially reduces the core functionality of a plan you have paid for, we shall give reasonable notice in the admin panel before it takes effect.
12.4 Features marked beta, preview or early access are provided as is, for testing, and may be changed or withdrawn without notice.
12.5 Where a Store is subject to a cyber attack, distributed denial-of-service attack, malware, abnormal traffic or a security incident, or its operation threatens the stability, security or reputation of the Services or of other Merchants, we may take it offline, rate-limit it or isolate it without notice until the matter is resolved, and without liability.
13Suspension, expiry, termination and deletion
In short: You may leave at any time. If Plan Validity ends, the store keeps working for 7 days and is then paused, not deleted. After closure your data is kept for one year and then deleted.
13.1 If your Plan Validity expires, your Store continues to operate normally for 7 days while we send reminders. After that period the storefront is paused and the admin panel becomes read-only: you may read and export all data but may not publish changes or accept new orders. Purchasing further Plan Validity reactivates the Store immediately. Nothing is deleted on account of non-payment alone.
13.2 We may suspend your account or Store, in whole or in part, with immediate effect if: you breach clause 4, 6, 9, 10 or 11; we receive a court order, police request or government direction; we reasonably suspect fraud, money laundering or a security risk; a payment provider or Third Party Service reports serious disputes or fraud on your Store; or suspension is necessary to protect the Services, other Merchants, Buyers or the Company from legal liability. We shall endeavour to tell you the reason, unless the law prevents us.
13.3 We may terminate these Terms and close your account immediately where a ground in clause 13.2 is not remedied to our reasonable satisfaction within seven days of suspension, or where the breach is serious or incapable of remedy. We may also terminate for convenience on thirty days' notice, in which case we shall refund Fees paid for the period after termination.
13.4 You may close your Store at any time by writing to support@remavio.in from the Store Owner's registered email address. On closure, your Store goes offline, the licences granted to you end and any Fees then due remain payable. We retain your data for one year after closure and then delete it permanently, together with uploaded files and search records. You should export what you wish to keep before closure.
13.5 We retain invoices and records of payments made to us for as long as tax and other law requires, and any other record that law requires us to keep, that is subject to a litigation hold under clause 11.6, or that we need to establish or defend a legal claim.
13.6 Clauses 4.5 to 4.7, 5, 6, 10, 11, 13.4, 13.5, 14 to 17, 20 and 21 survive termination.
14Disclaimers
In short: The Services are provided as they are. We do not promise sales, traffic or that the software fits your particular legal needs.
14.1 To the fullest extent permitted by Applicable Law, the Services are provided on an "as is" and "as available" basis, and we disclaim all warranties, conditions and representations, express, implied or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted or error-free operation.
14.2 We do not warrant that the Services will generate any sales, traffic, revenue or business result, or that they meet your particular legal, tax or regulatory requirements. You shall obtain your own legal, tax and compliance advice. Templates and guidance we provide are for general information and are not legal advice.
14.3 We have no responsibility for any Buyer, any transaction between you and a Buyer, any Merchant Content, any Third Party Service, or any act or omission of any third party.
15Limitation of liability
In short: Our total liability to you is capped at the Fees you paid in the three months before the event. We are never liable for lost profits, sales or data.
15.1 To the fullest extent permitted by Applicable Law, neither the Company nor its directors, officers, employees, agents or suppliers shall be liable to you for any indirect, incidental, special, consequential, punitive or exemplary damage, or for any loss of profit, revenue, sales, business, goodwill, data or anticipated savings, or for any Buyer claim, chargeback, penalty or fine, arising out of or in connection with the Services or these Terms, whether in contract, tort (including negligence), statute or otherwise, even if advised of the possibility of it.
15.2 The total aggregate liability of the Company arising out of or in connection with the Services and these Terms in any period of twelve months shall not exceed the Fees actually paid by you to the Company in the three months immediately preceding the event giving rise to the claim.
15.3 The limits in this clause apply to all claims taken together and form a fundamental basis of the bargain between the parties. Nothing in these Terms limits liability for fraud or any liability that cannot lawfully be limited.
15.4 Any claim against the Company shall be brought within twelve months of the date on which the cause of action arose, failing which it is waived.
16Indemnity
In short: If your store, products, content or breach of these terms causes a claim or loss for us, you cover it, including reasonable legal costs.
16.1 You shall defend, indemnify and hold harmless the Company, its affiliates and their directors, officers, employees, agents, licensors and service providers from and against all claims, demands, proceedings, losses, liabilities, damages, penalties, fines, costs and expenses, including reasonable legal fees, arising out of or relating to: your Store, products, services or Merchant Content; any transaction or dispute between you and a Buyer or other third party; your breach of these Terms, the Policies or Applicable Law; your infringement of any intellectual property, privacy or other right of any person; your collection, use or disclosure of Buyer Data; any tax, duty or regulatory liability relating to your sales; any Third Party Service you connect; any act or omission of your Staff Users; and any government, regulatory or consumer-forum proceeding relating to your Store.
16.2 We shall notify you of any such claim and you shall cooperate fully. We may assume the defence of any claim at your cost. You shall not settle any claim in a manner that imposes an obligation on us or admits fault on our behalf without our prior written consent.
17Confidentiality
In short: Each side keeps the other's non-public information confidential.
17.1 Each party shall keep confidential any non-public information of the other received in connection with the Services, use it only for the purposes of these Terms, and not disclose it except to its employees, advisers and service providers who need to know it and are bound by equivalent obligations, or where required by law or by order of a court.
17.2 This clause does not apply to information that is public, already known to the receiving party, independently developed, or lawfully received from a third party. The Company may also disclose your information to investors, acquirers, auditors and professional advisers under a duty of confidence, and to authorities as the law requires.
18Amendment of these Terms
In short: We may update these Terms. For material changes we give at least 15 days' notice by email and in the admin panel.
18.1 We may amend these Terms and the Policies from time to time. Changes that materially affect your rights or obligations shall be notified by email to your registered address and in the admin panel at least fifteen days before they take effect. Minor changes, such as corrections, clarifications or changes required by law, may take effect when published.
18.2 Each version carries an effective date. If you do not agree to an amendment you shall stop using the Services before it takes effect and may close your Store under clause 13.4; continued use after the effective date constitutes acceptance.
19Notices and grievance redressal
In short: We contact you by email and in the admin panel. You may take any complaint to our Grievance Officer.
19.1 We may give notice to you by email to your registered address, by notice in the admin panel or by SMS to your registered mobile number. Notice is deemed received twenty-four hours after it is sent. You consent to receive all communications, invoices and notices from us electronically.
19.2 Notice to the Company shall be sent by email to support@remavio.in and by registered post to the registered office stated in clause 1.1, marked "Attention: Legal".
19.3 In accordance with the Information Technology Act, 2000 and the Intermediary Rules, the name and contact details of our Grievance Officer, the procedure for complaints and the periods within which they are acknowledged and resolved are published at /grievance.
20Governing law and dispute resolution
In short: Indian law applies. Write to us first; if it is not settled in 30 days, the dispute goes to arbitration in New Delhi.
20.1 These Terms are governed by the laws of India.
20.2 Before commencing any proceeding, the party raising a dispute shall give the other written notice describing it (to the Company, at the address in clause 19.2), and the parties shall attempt in good faith to settle it within thirty days of that notice.
20.3 Any dispute, controversy or claim arising out of or relating to these Terms, the Policies or the Services, including their validity, interpretation, breach or termination, that is not settled under clause 20.2 shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by agreement of the parties or, failing agreement within fifteen days, in the manner provided by that Act. The seat and venue of arbitration shall be New Delhi, the language shall be English, and the award shall be final and binding. The arbitrator may award costs, including reasonable legal fees, to the prevailing party.
20.4 Subject to clause 20.3, the courts at New Delhi shall have exclusive jurisdiction, including for interim relief under section 9 of the Arbitration and Conciliation Act, 1996 and for enforcement of an award.
20.5 Nothing in this clause prevents the Company from seeking urgent injunctive relief from any competent court to protect its intellectual property, its confidential information or the security of the Services.
20.6 Disputes shall be resolved on an individual basis. You agree not to bring or join any class, collective or representative proceeding against the Company.
21General
In short: Standard provisions: events beyond our control, assignment, severability, and that this document is the whole agreement.
21.1 Force majeure. Neither party is liable for delay or failure in performance caused by events beyond its reasonable control, including act of God, flood, fire, epidemic, war, riot, strike, government action or order, internet shutdown, failure of hosting, cloud, telecommunications or power providers, cyber attack or change in law. An obligation to pay money is not excused by force majeure.
21.2 Assignment. You may not assign or transfer these Terms or your account without our written consent. The Company may assign or transfer these Terms, in whole or in part, to an affiliate or to a successor in connection with a merger, acquisition, restructuring or sale of assets, on notice to you.
21.3 Relationship. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, employment or fiduciary relationship, and you have no authority to bind the Company.
21.4 Severability. If any provision of these Terms is held invalid or unenforceable, it shall be enforced to the maximum extent permitted and the remaining provisions shall continue in full force.
